Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and AskVardi.ai (“AskVardi,” “we,” “our,” or “us”) governing your access to and use of the AskVardi.ai software platform and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you represent that: (a) you have read, understood, and agree to be bound by these Terms; (b) you are at least 16 years old; (c) if you are accepting on behalf of an organization, you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

• •“Service” means the AskVardi.ai web application, APIs, background jobs, and any related software or services.
• •“Account” means the registered account you create to access the Service.
• •“Organization” means the company or entity you represent when using the Service.
• •“Content” means any brand names, queries, configurations, and data you upload or input into the Service.
• •“Query Results” means the AI-generated text, source URLs, brand mentions, and related data retrieved by the Service on your behalf.
• •“Plan” means the subscription tier (Free, Pro, or Advanced) you select.

3.1 Eligibility

You must be at least 16 years of age to create an account. By creating an account, you represent and warrant that all information you provide is accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to:

• •Create a strong, unique password and keep it confidential.
• •Enable two-factor authentication when available.
• •Notify us immediately at legal@askvardi.ai of any unauthorized access or security breach.
• •Not share your account credentials with third parties.

3.3 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent plan limits or for any other reason is prohibited and may result in termination of all accounts.

4.1 Description

AskVardi.ai provides automated monitoring of brand visibility within AI-generated search results across multiple platforms. The Service uses browser automation to query AI systems, extract brand mentions, and generate visibility reports.

4.2 Service Availability

We target 99.5% monthly uptime for the core dashboard. We do not guarantee uninterrupted access to the Service and may perform scheduled or emergency maintenance. We will provide reasonable advance notice for planned downtime via the application dashboard.

4.3 Platform Dependency

The Service retrieves data from third-party AI platforms (Google, OpenAI, Anthropic, Perplexity, Microsoft, etc.) that are not under our control. Changes to these platforms, including but not limited to UI changes, anti-bot measures, rate limiting, or feature deprecation, may affect the Service's ability to retrieve data. We will make commercially reasonable efforts to maintain platform coverage but cannot guarantee availability for any specific platform.

4.4 Beta Features

We may release features in beta or preview status. Beta features are provided “as is” without warranty and may be changed or discontinued at any time.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• •Use the Service to collect, store, or process data in violation of applicable privacy laws.
• •Use the Service to track brands, individuals, or organizations without proper authorization.
• •Attempt to reverse engineer, decompile, disassemble, or derive source code from the Service.
• •Use the Service to perform competitive intelligence on direct competitors of AskVardi.ai for the purpose of replicating our Service.
• •Access the Service through automated means other than our documented APIs, or attempt to scrape the Service.
• •Use the Service to harass, defame, stalk, or threaten any person or organization.
• •Interfere with or disrupt the integrity, performance, or security of the Service or its underlying infrastructure.
• •Attempt to gain unauthorized access to any part of the Service or its related systems.
• •Upload or transmit viruses, malware, or any other malicious code.
• •Misrepresent your identity or affiliation with any person or organization.
• •Use the Service in any way that violates the terms of service of the third-party AI platforms we query.
• •Sublicense, sell, resell, or transfer access to the Service to third parties without our written consent.

Violation of this policy may result in immediate suspension or termination of your account without refund, and may expose you to legal liability.

6.1 Plans

We offer three plans: Free, Pro ($29/month), and Advanced ($79/month). Plan features and limits are described on our Pricing page at /pricing and may be updated from time to time. We will provide at least 30 days' notice before reducing features or raising prices for existing subscribers.

6.2 Free Plan

The Free plan is provided at no cost and includes limited features as described on our Pricing page. We reserve the right to modify or discontinue the Free plan at any time with 30 days' notice.

6.3 Billing

• •Paid plans are billed monthly in advance on the subscription start date.
• •Payment is processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.
• •All amounts are in US dollars and are non-refundable except as described in Section 6.5.
• •If your payment fails, we will retry on subsequent days and notify you by email. Continued failure may result in account suspension.

6.4 Plan Changes

• •Upgrades take effect immediately. You will be charged a prorated amount for the remainder of the billing period.
• •Downgrades take effect at the end of your current billing period. Your current plan features remain active until then.

6.5 Refund Policy

We offer a 14-day money-back guarantee on new paid subscriptions. If you are not satisfied within the first 14 days of your paid subscription, contact us at legal@askvardi.ai for a full refund. After 14 days, subscription fees are non-refundable except where required by applicable law.

6.6 Taxes

Prices are exclusive of applicable taxes. We will collect and remit taxes where required by law. You are responsible for any taxes applicable in your jurisdiction.

7.1 Our Property

The Service, including all software, algorithms, designs, text, graphics, logos, and underlying technology, is owned by AskVardi.ai or its licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws. These Terms do not transfer ownership of any intellectual property to you.

7.2 License to Use the Service

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

7.3 Your Content

You retain all ownership rights in the Content you submit to the Service (brand names, queries, configurations). By submitting Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your Content solely to provide and improve the Service.

7.4 Query Results

Query Results (AI-generated text and data retrieved on your behalf) are provided to you subject to the terms of service of the respective third-party AI platforms. We do not claim ownership of Query Results. Your use of Query Results must comply with applicable laws and the third-party platforms' terms.

7.5 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

You are solely responsible for ensuring that your use of the Service — including the brand names, domains, and queries you configure — complies with applicable data protection laws.

The Service retrieves data from third-party AI platforms including but not limited to Google, OpenAI, Anthropic, Perplexity AI, and Microsoft. These platforms are independently operated and not affiliated with AskVardi.ai.

By using the Service, you acknowledge that:

• •Third-party platforms may change their interfaces, policies, or availability at any time without notice to us.
• •Query Results reflect the output of third-party AI systems and may contain inaccuracies, biases, or errors.
• •AskVardi.ai is not responsible for the content, accuracy, or legality of AI-generated responses.
• •Your use of Query Results must comply with the terms of service of the originating AI platform.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) QUERY RESULTS WILL BE ACCURATE, COMPLETE, OR CURRENT; (C) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; OR (D) DEFECTS IN THE SERVICE WILL BE CORRECTED.

QUERY RESULTS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. ASKVARDI.AI DOES NOT GUARANTEE THE ACCURACY OF AI BRAND VISIBILITY DATA AND SUCH DATA SHOULD NOT BE USED AS THE SOLE BASIS FOR BUSINESS DECISIONS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASKVARDI.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

• •INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• •LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL;
• •COST OF SUBSTITUTE GOODS OR SERVICES;
• •ANY DAMAGES RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE,

EVEN IF ASKVARDI.AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ASKVARDI.AI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless AskVardi.ai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• •Your access to or use of the Service.
• •Your violation of these Terms.
• •Your violation of any applicable law or regulation.
• •Your violation of any third party's rights, including intellectual property or privacy rights.
• •Any Content you submit to the Service.

13.1 By You

You may cancel your account at any time through the account settings or by contacting us. For paid subscriptions, cancellation takes effect at the end of the current billing period. No partial-month refunds are provided except as described in Section 6.5.

13.2 By Us

We may suspend or terminate your account, with or without notice, if:

• •You materially breach these Terms and fail to cure the breach within 10 days of notice.
• •You violate our Acceptable Use Policy (Section 5).
• •We are required to do so by law or court order.
• •We discontinue the Service (30 days' notice where practicable).

13.3 Effect of Termination

Upon termination: (a) your license to use the Service ends immediately; (b) we may delete your account and associated data after a 30-day grace period; (c) provisions that by their nature should survive (including Sections 7, 10, 11, 12, and 14) will survive termination.

14.1 Informal Resolution

Before filing a formal claim, you agree to contact us at legal@askvardi.ai and give us 30 days to resolve the dispute informally.

14.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions.

14.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in English via remote hearing. The arbitrator's decision shall be final and binding.

14.4 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS OR COLLECTIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14.5 EU/EEA Users

If you are located in the EU or EEA, the arbitration clause above does not affect your right to bring claims before the courts of your member state of residence, or before the competent consumer protection or data protection authority.

We may update these Terms from time to time. When we make material changes, we will:

• •Update the “Effective date” at the top of this page.
• •Email all registered users at least 14 days before changes take effect.
• •Display a notice in the application dashboard.

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree, you may cancel your account before the changes take effect.
